Terms of Service

  1. Introduction

These Terms of Service (“Terms”) govern your access to and use of Recnote AB’s (“Recnote”, “we”, “our”, or “us”) software, applications, and services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. 

Recnote AB is a Swedish medtech company (Org. No. 559509-2460) with its registered office at Castorgatan 7, 554 62 Jönköping, Sweden. Our services are designed to assist healthcare professionals and organizations in automating and improving documentation and translation workflows. 

The Service is available online via web browser and requires a secure login through BankID or SITHS card. 

 

  1. Definitions
  • User: Any individual healthcare professional or employee authorized to use the Service. 
  • Customer: The organization (e.g., healthcare provider, clinic, or public authority) that has entered into a contract with Recnote. 
  • Service: The software and related digital tools provided by Recnote for documentation, translation, and communication support. 
  • Agreement: The contract and its appendices between Recnote and the Customer governing the Service. 
  • Confidential Information: Any information subject to professional secrecy, including data protected by the Swedish Patient Data Act or Public Access to Information and Secrecy Act. 

 

  1. Provision of the Service

3.1 Recnote shall provide the Service professionally, securely, and in compliance with applicable standards in healthcare, IT security, and the Recnote Information Security Management System (ISMS) certified under ISO/IEC 27001:2022. 

 3.2 The Service includes access to Recnote’s documentation and translation modules, available as a web application or via API integration. 

 3.3 The Service does not include physical hardware. Hardware and related devices (e.g., headsets, tablets) are provided exclusively through our authorized partner Solvedit AB, subject to their separate terms and warranty conditions. 

 3.4 Customers that use the Service in hybrid or on-premises environments are responsible for maintaining their own infrastructure, including updates, backups, and cybersecurity measures. 

 3.5 Recnote provides customer support during normal business hours via support@recnote.ai. 

 3.6 Scheduled maintenance may occur between 21:00 and 05:00 CET and will not count toward uptime calculations. 

 

  1. Acceptable Use

Users must use the Service responsibly and only for its intended professional purpose. You agree to: 

  • Verify and review all AI-generated content before inclusion in patient records. 
  • Use professional judgment when interpreting AI suggestions. 
  • Comply with all applicable laws, regulations, and clinical guidelines. 

Users must not: 

  • Use the Service for diagnosis or treatment recommendations. 
  • Enter false or misleading data. 
  • Share access credentials or permit unauthorized use. 
  • Attempt to reverse-engineer, copy, or modify the Service. 
  • Compromise or attempt to bypass security systems. 

Violation of these rules may result in suspension or termination of access. 

 

  1. Customer Responsibilities

5.1 The Customer must ensure that users have access to the necessary internet connection and devices to use the Service. 

 5.2 The Customer is responsible for ensuring that the Service is used only within its organization and in accordance with relevant healthcare and privacy regulations. 

 5.3 The Customer must ensure that all users are properly authorized and trained to use the Service. 

 5.4 The Customer may not assign or transfer its rights or obligations under this Agreement without Recnote’s written consent. 

 

  1. Data Ownership and Processing

6.1 The Customer retains full ownership of all data generated or processed through the Service. 

 6.2 Recnote does not obtain any rights to Customer data and processes such data solely to deliver the Service in accordance with GDPR, the Patient Data Act, and the Data Processing Agreement (DPA) between the parties. 

 6.3 Recnote does not use, sell, or transfer Customer data for analytics, model training, or marketing purposes. 

 6.4 Upon termination of the Agreement, all Customer data will be returned or permanently deleted within 30 days, unless otherwise required by law. 

 6.5 No data is stored or transferred outside the EEA. 

 

  1. Confidentiality

7.1 Both parties shall maintain confidentiality regarding all Confidential Information disclosed during the Agreement. 

 7.2 The confidentiality obligation applies indefinitely, including after termination of the Agreement. 

 7.3 Recnote ensures that all personnel, subcontractors, and processors comply with applicable secrecy obligations under Swedish law and the Public Access to Information and Secrecy Act (2009:400). 

 

  1. Personal Data, Security, and Compliance

8.1 Personal data processing is governed by a separate Data Processing Agreement (DPA) in accordance with the GDPR. 

 8.2 Recnote operates under an ISO/IEC 27001:2022 certified ISMS and follows internal procedures for incident management, risk mitigation, and auditing. 

 8.3 Recnote also complies with the EU AI Act and the NIS2 Directive, ensuring human oversight, transparency, resilience, and rapid incident reporting. 

 8.4 In the event of a data breach, Recnote will notify the Customer and the Swedish Authority for Privacy Protection (IMY) within 72 hours, as required by law. 

 8.5 Recnote’s environmental and sustainability efforts follow its Environmental and Sustainability Policy, aligned with ISO 14001 and Agenda 2030 goals. 

 

  1. Intellectual Property Rights

9.1 Recnote retains all intellectual property rights to its software, AI models, and related technologies. 

 9.2 The Customer receives a non-exclusive, non-transferable, and time-limited license to use the Service during the contract period. 

 9.3 Any suggestions, improvements, or feedback provided by Customers may be used by Recnote to improve its products without creating joint ownership. 

 9.4 The Customer is prohibited from sublicensing, redistributing, or reproducing the Service. 

 

  1. Limitation of Liability

10.1 Recnote is not liable for indirect, incidental, or consequential damages, including data loss or business interruption. 

 10.2 Recnote’s total liability is limited to the total amount paid by the Customer during the six (6) months preceding the claim. 

 10.3 Recnote is not responsible for issues arising from third-party hardware supplied by Solvedit AB. 

 10.4 Recnote shall not be held liable for errors caused by Customer misuse, third-party interference, or failure to follow provided instructions. 

 

  1. Force Majeure

Neither party shall be held liable for failure to perform obligations due to events beyond their reasonable control, including but not limited to government actions, natural disasters, cyberattacks, or labour conflicts. 

 

  1. Termination

12.1 Either party may terminate the Agreement with written notice in accordance with the contractual terms. 

 12.2 Upon termination, Recnote will ensure secure deletion or return of all Customer data within 30 days. 

 12.3 Recnote reserves the right to suspend access in cases of misuse, security risk, or violation of these Terms. 

 

  1. Governing Law and Dispute Resolution

13.1 These Terms are governed by and interpreted in accordance with the laws of Sweden. 

 13.2 Any disputes shall first be resolved amicably. If no resolution is reached, disputes shall be settled through arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce (SCC) in Stockholm, Sweden. The arbitration language shall be Swedish. 

 13.3 The proceedings and all related information shall remain strictly confidential.
